1. Acceptance of Terms

By accessing or using VoidAI Assist ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not use our Service.

These Terms apply to all users, visitors, and others who access or use the Service.

2. Description of Service

VoidAI Assist provides:

• Real-time transcription of audio conversations
• Instant translation between languages
• AI-powered typing suggestions via LLM integration
• P2P collaboration with partners
• Screen-share protection (macOS)

The Service uses peer-to-peer (P2P) technology, meaning conversations occur directly between users without passing through our servers.

3. Eligibility

You must be at least 13 years old to use this Service. By using the Service, you represent and warrant that:

• You are at least 13 years of age
• You have the legal capacity to enter into these Terms
• You will comply with these Terms and all applicable laws

For users under 18: You must have permission from a parent or guardian to use the Service.

4. User Responsibilities

4.1 Acceptable Use

You agree NOT to use the Service to:

• Violate any laws or regulations
• Infringe on others' intellectual property rights
• Transmit malware, viruses, or harmful code
• Harass, abuse, or harm others
• Impersonate another person or entity
• Collect or store personal data of others without consent
• Interfere with or disrupt the Service
• Use the Service for any illegal purpose

4.2 Content Responsibility

You are solely responsible for all content transmitted through your use of the Service. Because we use P2P architecture, we do not monitor, review, or control user content. You agree to use the Service at your own risk.

4.3 Recording Laws

IMPORTANT: You are responsible for complying with all applicable recording and wiretapping laws in your jurisdiction. In many regions, you must obtain consent from all parties before recording conversations. Failure to do so may result in criminal or civil liability.

5. Intellectual Property

5.1 Our IP

The Service, including all software, designs, text, graphics, and other content (excluding user content), is owned by VoidAI and protected by copyright, trademark, and other intellectual property laws.

5.2 Your IP

You retain all rights to your content. By using the Service, you do NOT grant us any license to your conversations, transcriptions, or other data. Your data is yours. Period.

Portions of the Service are open source and licensed separately. See our GitHub repository for details.

6. Pricing and Payment

6.1 Current Pricing

The Service is currently free to use. Core P2P features (transcription, translation, partner collaboration) will remain free forever.

6.2 Future Pricing

We may introduce paid features in the future, such as:

• Advanced LLM models (GPT-4, Claude 3, etc.)
• Extended conversation history storage
• Team/enterprise features

We will provide 30 days' notice before introducing any paid features. Core P2P functionality will always remain free.

6.3 Refunds

If paid features are introduced, refund policies will be clearly stated at the time of purchase.

7. Third-Party Services

The Service may integrate with third-party services (OpenAI, Anthropic, etc.). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

LLM Providers: When you use LLM features, your prompts are sent directly to the LLM provider (not stored by us). Review their terms before using these features.

8. Disclaimers and Limitations of Liability

8.1 "AS IS" Service

8.2 No Warranty

We do not warrant that:

• The Service will be uninterrupted or error-free
• Transcriptions will be 100% accurate
• Translations will be perfectly accurate
• LLM suggestions will be appropriate or helpful
• P2P connections will always succeed
• The Service will meet your specific requirements

8.3 Limitation of Liability

8.4 P2P Architecture Disclaimer

IMPORTANT: Because the Service uses P2P technology, conversations occur directly between users. We do not monitor, control, or record these conversations. You use the Service at your own risk. We are not responsible for:

• Content shared in P2P conversations
• Actions of your conversation partners
• Security breaches on your device
• Misuse of transcriptions or translations

9. Indemnification

You agree to indemnify, defend, and hold harmless VoidAI, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any law or regulation
• Your violation of others' rights
• Content transmitted through your use of the Service

10. Termination

10.1 Your Right to Terminate

You may stop using the Service at any time by uninstalling the application.

10.2 Our Right to Terminate

We may suspend or terminate your access to the Service at any time, for any reason, including:

• Violation of these Terms
• Illegal activity
• Abuse of the Service
• At our discretion

Note: Because we use P2P architecture and don't store your data, termination primarily affects your ability to download or update the software.

11. Dispute Resolution

11.1 Informal Resolution

Before filing a formal dispute, please contact us at legal@voidai.wtf to attempt informal resolution.

11.2 Arbitration Agreement

PLEASE READ THIS CAREFULLY:

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration rather than in court, except that:

• You may bring claims in small claims court if they qualify
• Either party may seek injunctive relief in court for IP violations

Arbitration Rules: American Arbitration Association (AAA) Consumer Arbitration Rules. Location: Your county of residence or remotely.

11.3 Class Action Waiver

YOU AND VOIDAI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

11.4 Opt-Out of Arbitration

You may opt out of this arbitration agreement by sending written notice to legal@voidai.wtf within 30 days of first using the Service.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law provisions.

Any legal action or proceeding (if not subject to arbitration) shall be brought exclusively in the courts located in [Your Jurisdiction].

13. Changes to Terms

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and VoidAI regarding the Service and supersede all prior agreements.
